SECTION A: GENERAL TERMS

Introduction and Overview

Thank you for choosing Mangrove, a product of Cantor LLC. Mangrove is a personal financial planning platform offering a suite of services, including desktop and mobile applications and associated documentation (collectively, the “Platform”). These terms govern your use of Mangrove and its associated services and software. By using Mangrove, you agree to these Terms of Use.

Throughout this agreement, "we", "us", or "our" refers to Cantor LLC, and "you" refers to the individual accepting these terms or acting on behalf of a business or client.

Note: This is a binding legal agreement. Please read carefully.

Agreement to These Terms

By using Mangrove, you confirm that:

  • You accept these terms and agree to our Privacy Statement.
  • You are at least 18 years old.
  • You can form a legally binding agreement.
  • You are not prohibited from using Mangrove by applicable law.

By using Mangrove, you authorize Cantor LLC to process your data for purposes described in the Privacy Statement, consistent with applicable laws. We do not sell your personal information.

Your Personal Information

You agree that we may process your data in accordance with our Privacy Statement. If you input data about other individuals, you confirm you have the right to do so and that they have been notified appropriately.

Changes to These Terms

We may update these Terms. If changes are significant, you may be required to accept them to continue using Mangrove. Continued use of the platform means you accept the updated terms.

We may also update, suspend, or discontinue features. We’re not liable for any resulting loss.

License and Access

We grant you a limited, nonexclusive, nontransferable, revocable license to use Mangrove and any associated software solely for lawful personal or internal business use.

Beta Features

Mangrove may include beta features, which are provided “as-is” and may be changed or discontinued at any time without notice or liability.

Account Responsibilities

You are responsible for:

  • Providing accurate and current account information.
  • Securing your credentials and devices.
  • Notifying us of unauthorized use.

Payment and Cancellations

  • Some services are free; others may require a subscription.
  • Subscriptions are billed in USD and renew automatically unless canceled.
  • You may cancel anytime via account settings; however, we do not issue refunds for partial periods.

Desktop and Mobile Apps

By installing the Mangrove app, you agree to:

  • Comply with applicable app store terms.
  • Receive automatic updates.
  • Use the app only as licensed by Cantor LLC.

The software is licensed, not sold.

Third-Party Products and Services

Mangrove may reference or integrate third-party services. These are not governed by these Terms, and we are not responsible for their content, functionality, or accuracy.

Your Content and Data

  • Your content remains yours.
  • You grant Cantor LLC a worldwide, nonexclusive, royalty-free license to use, host, and process your content to operate and improve Mangrove.
  • We may use aggregated and deidentified data for analytics, research, or improvement purposes.

Prohibited Uses

You agree not to:

  • Violate any laws.
  • Post offensive or infringing content.
  • Disrupt the platform or impersonate others.
  • Attempt unauthorized access or reverse engineer the software.

Violations may lead to suspension or termination.

Community Interaction and Feedback

  • Be respectful in public forums.
  • Do not share sensitive information.
  • Feedback submitted to us may be used freely to improve the platform.

Termination

You or Cantor LLC may terminate your account at any time. Termination does not affect any obligations incurred prior to termination.

You must stop using Mangrove upon termination.

Survival

Sections that continue after termination include: Your Personal Information, Payment & Cancellations, Content and Data, Feedback, Disclaimers, Limitation of Liability, Indemnity, Disputes, and Miscellaneous.

Communication

We may contact you via email, SMS, or within the app regarding account activity, service updates, or promotions. You can manage communication preferences via your account settings.

Third-Party Account Info

When you link a third-party service, you grant us permission to access your data solely as your agent. We are not liable for the accuracy or consequences of third-party data.

Disclaimers

The platform is provided “as-is” with no warranties unless explicitly stated.

We do not guarantee uninterrupted service or error-free operation.

Limitation of Liability

Cantor LLC's total liability for any claims related to Mangrove is limited to the greater of $100 or the amount you paid in the last 12 months.

We are not liable for indirect or consequential damages.

Indemnity

You agree to indemnify Cantor LLC for any claims, losses, or liabilities resulting from your violation of these terms or misuse of the platform.

Dispute Resolution

If a dispute arises, you agree to:

  • Attempt informal resolution first.
  • If unresolved, proceed to binding arbitration or small claims court in your jurisdiction or in Santa Clara County, CA.
  • Waive class actions; only individual claims may be brought.

The U.S. Federal Arbitration Act governs these provisions.

Miscellaneous

  • Governing Law: California law and U.S. federal law apply.
  • Export Compliance: You agree not to use or export Mangrove in violation of applicable laws.
  • Government Use: Software is licensed as a commercial item.
  • Waiver: Failure to enforce a right does not waive it.
  • Assignment: You may not assign this agreement without consent.
  • Severability: If any provision is invalid, the rest remain in effect.
